1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "user"), and Flexorio ("Flexorio", "we", "us", or "our"), concerning your access to and use of the Flexorio platform, website, software, data feeds, and proprietary algorithmic trading intelligence systems (collectively, the "Platform").
By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
2. Eligibility and Account Security
Access to the Platform is restricted to persons who are at least eighteen (18) years of age or the legal age of majority in your jurisdiction. By using the Platform, you represent and warrant that you meet this requirement and possess the legal capacity to enter into these Terms.
When you create an account, you agree to provide truthful, accurate, and current registration information. You are solely responsible for maintaining the confidentiality of your authentication credentials, multi-factor tokens, and API access keys. Any activity occurring under your registered account shall be deemed your sole responsibility. You agree to notify Flexorio immediately of any unauthorised use or security breach.
3. Nature of Platform & Non-Advisory Role
Flexorio provides advanced computational software, machine learning algorithmic indicators, quantitative analytics, and automated trade execution connectivity tools. You expressly understand and agree that:
- Flexorio does not provide regulated investment advice, personal financial planning, tax guidance, or legal counsel.
- Nothing published on or transmitted through the Platform constitutes a recommendation, solicitation, or endorsement to buy, sell, or hold any cryptocurrency, foreign exchange pair, or digital token.
- All quantitative outputs, market scans, model signals, and mathematical projections are derived automatically through algorithmic processing and do not account for individual financial situations, risk tolerance, or objectives.
- You retain complete discretion over whether to activate automated trading routines or execute transactions based on algorithmic signals.
4. User Responsibilities & Acceptable Use
You agree to use the Platform in compliance with all applicable United Kingdom statutes, regulations, and international standards. Specifically, you agree that you will not:
- Deploy the Platform for any unlawful purpose, including money laundering, financing terrorism, or circumventing economic sanctions;
- Engage in abusive trading practices, spoofing, wash trading, front-running, or market manipulation across connected liquidity pools or digital-asset exchanges;
- Reverse engineer, decompile, disassemble, or extract source code, proprietary algorithms, or mathematical models powering Flexorio;
- Attempt to breach, probe, test vulnerability, or bypass any security layers, authentication mechanisms, or rate-limiting firewalls;
- Resell, sublicense, redistribute, or frame the Platform data feeds to unauthorised third parties without our prior written consent.
5. API Integrations & Exchange Connections
The Platform may permit you to integrate your account with supported third-party digital asset exchanges via Application Programming Interface (API) keys. When configuring API connectivity, you must restrict permissions solely to trade execution and data queries, and you must never grant withdrawal privileges to Flexorio keys.
Flexorio shall not be liable for any losses, failed orders, slippage, liquidity disconnects, exchange downtime, or execution errors stemming from third-party exchange infrastructure, rate limits, or network congestions beyond our reasonable control.
6. Intellectual Property Rights
All intellectual property rights in the Platform, including proprietary algorithms, user interface designs, visual graphics, trademarks, source code, data architectures, and documentation, are the sole and exclusive property of Flexorio or its licensors. Subject to your strict compliance with these Terms, Flexorio grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal or personal algorithmic trading operations.
7. Limitation of Liability
To the maximum extent permitted under applicable law, in no event shall Flexorio, its directors, employees, affiliates, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, lost capital, loss of data, hardware malfunction, or network interruption—arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any liability which cannot be lawfully excluded under the laws of England and Wales.
8. Termination and Suspension
Flexorio reserves the right, in its sole discretion and without prior notice, to suspend or terminate your account, restrict your access to parts of the Platform, or revoke your API connectivity if you breach these Terms, compromise platform integrity, or if requested by competent regulatory authorities.
9. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of these Terms.
